An administrative services contract is a memorandum of understanding between two parties wherein one party is desirous of availing administrative service and support and the second party is a service provider with expertise in providing service in the required areas.

The first party may choose to avail services in any of areas such as accounts keeping, front office, secretarial services, and back end administrative works and the second party is obliged to supply trained personnel in each of fields so as to provide best service to the client. An administrative service contract should essentially consist of important clauses such as the areas in which service is being solicited, the number of personnel to be deployed, the time period for which the agreement is valid, the payment cycle, the exact roles and responsibilities of each party, non-disclosure and confidential information protection clauses, the rights of each party and legal remedies each party can take in case of dispute or conflict.
